1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "Agency") and Nixpx, operating the platform known as Selpx ("Selpx", "we", "us").

By signing up for an account, accessing selpx.com, or utilizing our client portals and free business tools, you confirm that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy.

2. Description of Services

Selpx provides digital agencies, studios, and independent consultants with white-label client collaboration portals, invoice creation and tracking, digital file approvals, automated client intake, and free productivity calculation suites. Certain features are accessible free of charge, while advanced features (such as custom domains, unlimited active clients, and priority delivery) require an active paid subscription plan (Starter or Pro).

3. User Accounts & Security

To access agency workspace features, you must register an account with a valid email address and password. You are solely responsible for:

• Maintaining the confidentiality of your account credentials.
• All activities, project uploads, and client invitations conducted under your credentials.
• Promptly notifying us at support@selpx.com of any unauthorized access or security breach.

4. Acceptable Use Policy

You agree not to use the Services to:

• Distribute malware, phishing materials, or fraudulent financial solicitations.
• Upload or transmit materials that infringe third-party copyrights, trademarks, or trade secrets.
• Engage in automated scraping, denial-of-service attempts, or reverse-engineering of our source code.
• Harass, defraud, or impersonate other persons or legal entities.

We reserve the right to suspend or terminate any workspace found in violation of this Acceptable Use Policy without notice.

5. Subscriptions, Payments & Invoicing

Subscription Billing: Paid subscriptions (Starter and Pro) are billed in advance on a recurring monthly or annual basis via Stripe. You can cancel your subscription at any time via your Account Settings; cancellation takes effect at the end of the current billing cycle.

Client Invoicing & Third-Party Gateways: When you generate invoices for your own clients through Selpx, payments are processed directly through your integrated Stripe or PayPal accounts. Selpx charges 0% transaction commissions on client payments. We do not act as an escrow agent or bank.

6. Intellectual Property Rights

Your Content: You retain complete ownership of all trademarks, logos, design files, contracts, and confidential client assets you upload to Selpx. We claim no intellectual property rights over the files delivered to your clients.

Our Platform: All software, website design, illustrations, UI components, and branding assets associated with Selpx and Nixpx are the exclusive property of Nixpx and protected by international copyright laws.

7. Limitation of Liability

To the maximum extent permitted by applicable law, Selpx and Nixpx shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the platform. Our aggregate liability for all claims related to the Services shall not exceed the amount paid by you to Selpx during the twelve (12) months preceding the claim.

8. Disclaimer of Warranties

The Services, including our free generator tools, are provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied, including fitness for a particular purpose or non-infringement.

9. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws governing Nixpx software operations, without regard to its conflict of law principles. Any dispute arising under these Terms shall be resolved through good-faith negotiation or competent courts of proper jurisdiction.
